S U S TA I NAB I L I T Y R E PORT 2 0 1 2
presented information on our sub-
sidiaries and had served as the ba-
sis for our previous Reports. In-
stead, we have chosen to high-
light by means of suitable graphs or
textboxes the aspects of our sub-
sidiaries’ performance, whether pos-
itive or negative, that play a signif-
icant part in establishing the over-
all picture for the Group in each ref-
erence area.
In putting together the Sustain-
ability Report 2012, our goal was to
present its contents in a more con-
cise way, in order to make it more
easily accessible to as many of our
Stakeholder groups as possible. To
achieve this, the information con-
tained in the Report is comple-
mented by the new, dedicated sec-
tion on Corporate Social Responsi-
bility which is now available on the
Group's website, as well as by rel-
evant references to our Annual Re-
port.
This year’s Report opens with the
message from the Chairman of the
Group, which focuses on the key is-
sues and the progress made in
2012, introducing briefly the Re-
port’s contents and the Group’s
new business goals for the coming
years. The next section describes the
Sustainability Report parameters,
which define the Report’s scope
and boundary, and is followed by a
brief presentation of the Group’s
business profile. Of particular sig-
nificance is the section that presents
our approach to the Governance of
Corporate Social Responsibility, the
results of our third cycle of consul-
tation with our Stakeholders, our
performance against the targets
we had set ourselves in 2012, and
the new CSR targets we have set for
2013. It is followed by a summary of
the Group’s key financial figures
(which are discussed in detail in the
Annual Report 2012). The next sec-
tions contain data on employment
and labour practices and on the pro-
tection of human rights and the en-
vironment, together with data con-
cerning our contribution to the so-
cial cohesion and development of
the local communities where we op-
erate. The results presented for the
Group cover extensively the envi-
ronmental and social initiatives and
performance (sustainability frame-
work) of MYTILINEOS HOLDINGS
S.A. (Corporate Centre) and it's
wholly owned three subsidiaries
(ALUMINIUM S.A. with its subsidiary
DE L PH I - D I S TOMON S.A., and
PROTERGIA S.A.) with reference to
Greece, as well as of METKA S.A., in
which MYTILINEOS HOLDINGS S.A.
is the majority shareholder and
which – in addition to Greece – is al-
so active abroad, in Algeria, Turkey,
Syria, Iraq and Jordan.
There are no significant changes
from the previous Report in terms of
the scope and boundaries of the
Sustainability Report 2012 and of
the calculation methods used to ob-
tain the quantitative data present-
ed. However, specific revisions of the
Report’s contents compared to pre-
vious Reports are as follows:
(a) The policies and the systematic
actions undertaken by the Group in
the Corporate Social Responsibility
domain were covered in detail in the
Sustainability Report 2010, which
serves as reference for the on-going
mechanisms and directions in place
to guide the efforts of our sub-
sidiaries towards sustainable devel-
opment. The Sustainability Reports
published after 2010 only contain
references to any changes or major
revisions to these policies and sys-
tematic actions.
(b) The contents of the section on
“Corporate Governance” have been
drastically reduced, because the
composition and responsibilities of
the Group’s Board of Directors and
Board Committees are described
in detail in the Group’s Annual Re-
port 2012, and because the CSR
section of the Group’s website now
provides comprehensive coverage of
the following subjects:
-
The degree of compliance with the
Corporate Governance Code and
any deviations from it.
-
The relationship between the earn-
ings of management executives
and the performance of the Group
and the Group companies.
-
Conflicts of interests.
-
The procedures for specifying the
qualifications of the Board mem
-
bers.
-
The corporate policies and values
relating to the Group's econom-
ic, environmental and social per-
formance.
-
Risk management.
-
The procedure for evaluating the
performance of the Board with re-
spect to the Group’s economic,
environmental and social per-
formance.
-
The Group’s initiatives relating to
the precautionary approach or
principle.
(c) Finally, the Report does not con-
tain any data on the Group’s new-
ly-established company “M&M GAS
Co S.A.”, established jointly with
MOTOR OIL to engage in the sup-
ply and trading of natural gas. The
investigation and assessment of
the possibility to include this com-
pany in the Sustainability Report
2013 has been scheduled for this
year.
